The Management Board of Celon Pharma S.A. (“Company”) informs that on March 11, 2022, 30,000 series C shares of the Company, with a nominal value of PLN 0.10 each, were entered in the securities accounts of the entitled persons, as part of the conditional increase of the Company’s share capital (“Shares”). The Shares were taken up by the holders of series A subscription warrants, the granting of which under the Incentive Programs for Members of the Management Board and other persons of key importance to the Company, was announced by the Company in the current report No. 45\/2021 of November 2, 2021. Granting (issuing) of the Shares took place in accordance with the declarations of persons entitled to take up the Shares, after they paid their full contributions for the Shares, in accordance with Resolution No. 7\/2021 of the Extraordinary General Meeting of the Company of February 16, 2021 on the issue, in order to implement Incentive Programs for Members Of the Management Board and other persons of key importance to the Company, series A subscription warrants depriving the existing shareholders of the subscription right, entitling to take up Series C shares and a conditional increase of the share capital by issuing Series C shares, depriving the existing shareholders of the subscription right and the relevant amendment of the Company\u2019s Articles of Association.<\/p>\n\n\n\n
Along with the granting of the Shares, the rights to the Shares were acquired and the share capital of the Company was increased by the amount of PLN 3,000. After the increase, the share capital of the Company amounts to PLN 5,103,000 and is divided into 51,030,000 shares, including:<\/p>\n\n\n\n
– 15,000,000 series A1 registered shares, privileged as to voting rights in such a way that each share carries two votes at the General Meeting of the Company,<\/p>\n\n\n\n
– 15,000,000 series A2 ordinary bearer shares,<\/p>\n\n\n\n
– 15,000,000 series B ordinary bearer shares,<\/p>\n\n\n\n
– 30,000 series C ordinary bearer shares,<\/p>\n\n\n\n
– 6,000,000 series D ordinary bearer shares<\/p>\n\n\n\n
The total number of votes resulting from all shares issued by the Company is 66,030,000.<\/p>\n\n\n\n
The amount of the conditional share capital increase after the above-mentioned issue of the shares amounts to PLN 197,000.<\/p>\n\n\n\n
Pursuant to Article 452 \u00a7 4 of the Commercial Companies Code, the Management Board of the Company will submit an application to the registry court to update the entry on the Company’s share capital.<\/p>\n","protected":false},"excerpt":{"rendered":"
